We’re currently seeking a full-time Corporate and Transactional Paralegal who is detail-oriented, proactive, and thrives in a collaborative environment. This pivotal role, reports to the General Counsel and works closely with all departments within PlaneSense and its affiliates, to address their legal needs, responsibilities, and obligations. These include aircraft fractional interest transactions, contract and vendor relations, corporate governance, aircraft financing transactions, collections, litigation support, and other general legal matters.
The Corporate and Transactional Paralegal position plays a vital role in our Legal team by drafting aircraft fractional program documents as well as other contracts, corporate organizational documents, affidavits, and legal correspondence, organizing and maintaining files, as well as other tasks as required. This role must work well with others as working with all departments is critical to closing transactions in a timely manner.
No prior experience in an in-house legal department is necessary. No more timekeeping or law firm billable hour requirements in this in-house role! Paralegal and legal operations skills in fields such as mergers & acquisitions, real estate, tax, and contracts are transferable to this position. We will train the right candidate to soar in the sophisticated world of business aviation.
Essential Duties and Responsibilities include the following:
- Work collaboratively with prospective and existing fractional interest owners and their advisors through written and verbal communications to explain the terms of the aircraft fractional interest and other fractional program and jet card documents
- Work collaboratively with the Legal, Sales, Finance, and Account Services teams to facilitate aircraft fractional interest, jet card, and other transactions;
- Draft, revise, and submit documents for aircraft fractional interest transactions, jet cards, and sale of whole aircraft;
- Work collaboratively with the lender and Finance and Legal teams to prepare, review and close on aircraft financing transactions;
- Create and maintain corporate records, including organizational documents, annual reports, resolutions, minutes, stock certificates and merger agreements;
- Perform due diligence, legal and factual research;
- Prepare correspondence;
- Build and maintain databases and files;
- Assist with audits and ethics and compliance programs; and
- Draft contracts and other legal documents
Qualifications:
- Strong verbal and written communication skills.
- Exceptional organizational skills and superb attention to detail.
- Great collaborator and teammate with strong interpersonal skills.
- Must be able to manage time-sensitive aircraft fractional program documents and work skillfully with other departments to manage the closings for the sale of aircraft fractional interests.
- Must be able to function effectively in a fast-paced, team-oriented environment.
- Ability to work in the United States; Willingness to work at the corporate headquarters in Portsmouth, New Hampshire.
Education and/or Experience:
- Certificate of completion from an ABA-approved paralegal certification program of education and training, or an associate degree in paralegal studies or at least five (5) years of experience in a corporate or transactional paralegal position.
Computer Skills:
- Proficient with Microsoft Office, specifically Outlook, Word, and Excel.
